Terms of Service
These Terms of Service ("Terms") govern your access to and use of the UMG Technologies, Inc. ("UMGT", "we", "us") customer portal, including account creation, machine registration, and the download of software versions and support materials (the "Service"). By creating an account or using the Service, you agree to these Terms.
1. Eligibility and accounts
The Service is intended for authorized representatives of businesses that own or operate UMGT machines. You must provide accurate, current, and complete information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
2. Machine registration
You agree to register only UMGT machines purchased or leased directly from UMGT. You must provide the model, serial number, and software revision of your asset for verification by the Company. UMGT may verify this information and may suspend access if a registration appears inaccurate or unauthorized, or if payment for the machine or associated spare parts is past due.
3. Software and materials license
Software versions and support materials made available through the Service are licensed, not sold. Subject to these Terms, UMGT grants you a limited, non-exclusive, non-transferable, revocable license to download and use them solely to operate and maintain your registered UMGT machines. Download links are time-limited (48 hours); you may not circumvent, share, or attempt to extend these limits.
You represent that any authorized user downloading or installing software or data files on your behalf understands the target machine's configuration and requirements. UMGT provides such downloads without warranty of any kind, express or implied. If a selected operating system or data file download results in faults, malfunction, or production scrap, you and your organization assume full responsibility and agree to hold UMGT harmless from any resulting loss or damage. UMGT strongly recommends contacting our Service Department to confirm the correct UMGT.exe version or critical data file prior to loading it onto a machine controller or operating the associated machinery.
4. Confidentiality
Software, revision information, and support materials provided through the Service may be confidential and proprietary to UMGT. You agree not to disclose, redistribute, publish, reverse engineer, or provide them to any third party except as expressly authorized in writing by UMGT.
5. Acceptable use
You agree not to misuse the Service, including by attempting to gain unauthorized access, interfering with its operation, uploading malicious code, or using it in violation of applicable law.
6. Intellectual property
UMGT and its licensors retain all right, title, and interest in the Service, the software, and all related materials. No rights are granted except as expressly stated in these Terms.
7. Disclaimers
The Service and all software and materials are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
8. Limitation of liability
To the fullest extent permitted by law, UMGT will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or related to your use of the Service.
9. Suspension and termination
We may suspend or terminate your access to the Service at any time if you violate these Terms or to protect the Service or other users. You may stop using the Service at any time.
10. Governing law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Essex County, Massachusetts, and you consent to the personal jurisdiction of such courts.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with an updated effective date, and your continued use of the Service constitutes acceptance of the updated Terms.
